2.1 Business Eligibility

To be eligible for our business loan services, you must:

• Have been in business for at least 6 months
• Have a minimum annual revenue of $50,000
• Maintain an active business bank account
• Have no recent bankruptcies or tax liens

2.2 Personal Eligibility

As the business owner or authorized representative, you must:

• Be at least 18 years of age
• Have a personal credit score of 550 or higher
• Provide accurate and complete information
• Have the legal authority to bind the business to loan agreements

• Working Capital Loans ($10,000 - $250,000, 3-18 months)
• Term Loans ($25,000 - $500,000, 12-84 months)
• Invoice Financing ($5,000 - $200,000, 30-90 days)

3.2 Interest Rates and Fees

Interest rates range from 7.99% to 24.99% APR based on creditworthiness, business performance, and loan terms. All fees are disclosed upfront with no hidden charges. Rates and terms are subject to approval and may vary based on individual qualifications.

4. Application Process

4.1 Application Submission

By submitting a loan application, you represent and warrant that:

• All information provided is true, accurate, and complete
• You have the authority to submit the application on behalf of the business
• You will promptly update us of any material changes to your business or financial condition
• You consent to credit checks and verification of provided information

4.2 Approval and Funding

Loan approval is at SatuitCapital's sole discretion. We reserve the right to approve, deny, or modify any loan application. Funding is contingent upon final approval, execution of loan documents, and satisfaction of all conditions precedent.

5. Loan Terms and Repayment

5.1 Repayment Obligations

You agree to repay the loan according to the terms specified in your loan agreement, including:

• Principal amount borrowed
• Interest charges as specified
• Any applicable fees
• Payment schedule and due dates

5.2 Default and Late Payments

Failure to make timely payments may result in late fees, acceleration of the entire loan balance, and negative impact to your credit score. We may pursue all available legal remedies for collection of outstanding amounts.

5.3 Early Repayment

You may prepay your loan in full or in part at any time without penalty. Early repayment may result in interest savings as outlined in your loan agreement.

6. Personal Guarantees and Security

Business loans may require personal guarantees from business owners or principals. You may be required to pledge business or personal assets as collateral for the loan. Details of any guarantee or security interest will be specified in your loan agreement.

7. Privacy and Data Protection

8. Prohibited Uses

Loan funds may not be used for:

• Speculative trading or investment
• Refinancing existing SatuitCapital loans

9. Representations and Warranties

By accepting these Terms, you represent and warrant that:

• You have full corporate power and authority to enter into this agreement
• Your business is in good standing and operating legally
• All financial information provided is accurate and complete
• There are no pending legal actions that would materially affect your business
• You are not in default on any other loan or credit agreement

10. Limitation of Liability

SatuitCapital's liability is limited to the maximum extent permitted by law. We are not liable for indirect, consequential, or incidental damages arising from the use of our services. Our total liability shall not exceed the amount of fees paid by you for our services.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Kentucky. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Louisville, Kentucky, in accordance with the rules of the American Arbitration Association.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or posted on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to our services at any time for violation of these Terms or any fraudulent, abusive, or illegal activity. Termination does not affect existing loan obligations, which remain in full force and effect.

14. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
